These general terms do not create a project by themselves. Paid work begins only when Young Studio and the client accept a written proposal, statement of work or support agreement. That specific document takes priority where it differs from these general terms.
1. Parties and scope
The proposal identifies the client, Young Studio, the services, deliverables, assumptions, exclusions, timetable and price. Work outside that scope requires written agreement and may be quoted separately.
2. Client responsibilities
The client must provide timely, accurate information, content, approvals and lawful access needed for the work. The client confirms it has the right to supply all text, images, data, software and credentials it provides, and remains responsible for its business claims, regulated content and legal obligations.
3. Fees and payment
Fees, deposits, milestones, recurring charges and payment dates are stated in the proposal. Unless the proposal says otherwise, invoices are due within 14 days. Young Studio may pause work or access to non-live deliverables while undisputed overdue amounts remain unpaid, after giving reasonable notice.
4. Changes and delays
A requested change may affect price and delivery dates. Young Studio will explain the effect before carrying out material out-of-scope work. Dates depend on timely client feedback and third-party availability; delays caused by missing client material move the schedule accordingly.
5. Acceptance and corrections
The proposal may define an acceptance period. The client should report material departures from the agreed scope promptly and with enough detail to reproduce them. Young Studio will correct verified scope defects within a reasonable period. New preferences and later business changes are not defects.
6. Intellectual property
On payment of all relevant fees, the client receives the rights in bespoke final deliverables described in the proposal. Young Studio retains its pre-existing methods, tools, reusable components, know-how and third-party materials. Third-party software, fonts, photographs, plugins and services remain subject to their own licences.
7. Portfolio use
Unless confidentiality is agreed in writing, Young Studio may identify the client and display the public finished work in its portfolio after launch. Private data, credentials and unpublished client material are excluded.
8. Hosting and third parties
Domains, hosting, payment providers, marketplaces, email services and other third-party systems are governed by their own terms and availability. Young Studio is not responsible for third-party outages or policy changes, but will provide reasonable assistance where included in the service.
9. Security, backups and credentials
Both parties must handle credentials securely. Clients must not send passwords through the public enquiry form. No internet-connected service can be guaranteed invulnerable. The proposal states any maintenance, monitoring and backup responsibility; these are not implied where no ongoing service exists.
10. Confidentiality and data protection
Each party will use non-public information only for the work and protect it with reasonable care. Where Young Studio processes personal data on the client's behalf, any required controller-processor details will be agreed for that service.
11. Suspension and termination
Either party may terminate for a material breach that is not corrected within a reasonable written remedy period. The proposal may also permit termination for convenience. The client remains responsible for accepted work performed and committed third-party costs up to termination. Handover is subject to payment of undisputed sums.
12. Liability
Nothing excludes liability that cannot lawfully be excluded, including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence. Subject to that, any project-specific liability allocation or cap is stated in the signed proposal. Young Studio does not promise a particular search ranking, sales result or uninterrupted third-party service.
13. Consumers
Most Young Studio work is supplied to businesses. If a client is legally acting as a consumer, mandatory consumer rights—including applicable pre-contract information and cancellation rights—continue to apply and override inconsistent terms. Work requested during a statutory cancellation period will begin only with the required express request and acknowledgement.

14. Law and disputes
The proposal identifies the governing law and jurisdiction. The parties should first try to resolve concerns directly and in good faith, with a clear written account of the issue and desired remedy.
